Turkey’s Capital Markets Board (SPK) has taken three Tera Yatırım applications out of processing, citing prevailing conditions and uncertainties, the company said in a disclosure to the Public Disclosure Platform.

One application, filed on Sept. 9, 2025, sought approval to issue up to 19 billion lira in debt instruments for sale to qualified investors without a public offering.

A second application proposed a private capital increase for shareholder Emre Tezmen, with a targeted total sale proceeds of 50 billion lira. The proposal would have restricted existing shareholders’ rights to buy new shares.

The third sought to raise capital by 28 billion lira, from 700 million lira to 28.7 billion lira, using 2025 net profit. The SPK’s decision was made under Article 96, paragraph one, of the Capital Markets Law and related regulations.
