The company will offset the sale consideration against capital-advance claims, while assigning the remaining claims to its controlling shareholder.

Key takeaways

  • HKTM approved transfers of its stakes in four subsidiaries for 100,940,250 TL.
  • The sale consideration will offset capital-advance claims, rather than provide new cash to HKTM.
  • KAP says 199,059,750 TL in claims will remain and be assigned to the controlling shareholder.

HKTM’s board approved transferring its stakes in four subsidiaries for a combined 100,940,250 Turkish lira, with Oct. 12, 2026, listed as the transaction date. The buyers are İlham Çelebi and Atıf Tunç Atıl.

The sale covers all of HKTM’s 100% stake in Hareket Kontrol Servis Merkezi, plus its 51% stakes in ACD and İnovasyon and its 80% stake in Modül Modern. The sale consideration will be set off against capital-advance claims the buyers hold against HKTM, reducing what the company owes them instead of bringing in new cash.

Remaining claims and shareholder rights

HKTM also approved transferring an El Cezeri statue recorded among its assets to the two buyers for 5 million TL, including VAT. The amount will be offset equally against their claims. After the offsets, the company says 199,059,750 TL in claims will remain.

The board approved assigning those remaining claims to controlling shareholder Süleyman Şemdinoğlu for use toward a private-placement capital increase application to the Capital Markets Board. The filing says a previous application was withdrawn and the advances will not be converted into shares. HKTM identified the buyers as related parties, expects a positive effect on operations, and said the transactions do not create a shareholder withdrawal right.
